1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Spredo AI, Inc. ("Spredo," "we," "us," or "our") governing your access to and use of the Spredo AI platform, including our website at spredo.ai, web application at app.spredo.ai, and all related services (collectively, the "Service").

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.

2. Eligibility

To use Spredo, you must meet the following requirements:

• • Be at least 16 years of age
• • Have the legal capacity to enter into binding contracts
• • Not be prohibited from using the Service under applicable laws
• • If using the Service on behalf of an organization, have the authority to bind that organization to these Terms

By using the Service, you represent and warrant that you meet these eligibility requirements.

3. Account Registration and Security

3.1 Account Creation

To access certain features of the Service, you must create an account. You agree to:

• • Maintain and promptly update your account information
• • Keep your password secure and confidential
• • Notify us immediately of any unauthorized access or security breach
• • Accept responsibility for all activities that occur under your account

3.2 Account Security

You are solely responsible for maintaining the security of your account credentials. Spredo is not liable for any loss or damage arising from your failure to protect your account information. We recommend enabling two-factor authentication for enhanced security.

3.3 Account Termination

You may terminate your account at any time through your account settings or by contacting us. We reserve the right to suspend or terminate your account if you violate these Terms or engage in prohibited activities.

4. Service Description

Spredo provides an AI-powered document analysis platform that allows users to:

• • Upload and analyze multiple documents (PDFs, DOCX, TXT, URLs) simultaneously
• • Create custom AI prompts to extract specific information from documents
• • Generate structured analysis results in a spreadsheet interface
• • Collaborate with team members on document analysis projects
• • Export analysis results to various formats (Excel, CSV, PDF)
• • Access pre-built templates for common use cases

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation of the Service.

5. Subscription Plans and Billing

5.1 Free Plan

Spredo offers a free plan with limited features and usage (up to 20 documents per month). The free plan is provided "as is" without any warranties or guarantees of availability.

5.2 Paid Plans

Paid subscription plans are billed monthly or annually in advance. By subscribing to a paid plan, you agree to:

• • Pay all fees associated with your chosen plan
• • Provide valid payment information and keep it current
• • Authorize automatic recurring charges to your payment method
• • Pay all applicable taxes (sales tax, VAT, etc.)

5.3 Billing and Renewals

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You will be charged the then-current rate for your plan. We will notify you of any price changes at least 30 days in advance.

5.4 Cancellation and Refunds

You may cancel your subscription at any time. Cancellations take effect at the end of the current billing period—you will retain access until then. We do not provide refunds for partial months or unused portions of your subscription, except as required by law or at our sole discretion.

5.5 Payment Disputes

If you believe you have been incorrectly charged, contact us at billing@spredo.ai within 30 days of the charge. We will investigate and resolve legitimate billing errors.

6. User Content and Ownership

6.1 Your Content

"User Content" means any documents, files, data, text, images, or other materials you upload, submit, or transmit through the Service. You retain all ownership rights to your User Content.

6.2 License to Spredo

By uploading User Content, you grant Spredo a limited, non-exclusive, royalty-free license to use, process, and store your User Content solely for the purpose of providing the Service to you. This includes:

• • Processing your documents with AI to generate analysis results
• • Storing your content on our secure servers
• • Displaying your content back to you and authorized team members
• • Creating backups for disaster recovery

6.3 Content Responsibility

You are solely responsible for your User Content and the consequences of uploading or sharing it. You represent and warrant that:

• • You own or have the necessary rights to upload and use your User Content
• • Your User Content does not violate any laws, regulations, or third-party rights
• • Your User Content does not contain viruses, malware, or harmful code
• • Your User Content does not infringe on intellectual property rights

6.4 Content Removal

We reserve the right to remove or refuse to process any User Content that violates these Terms, is illegal, or is otherwise objectionable, without prior notice.

7. Prohibited Uses

You agree NOT to use the Service for any of the following purposes:

• • Illegal Activities: Any unlawful purpose or in violation of any local, state, national, or international law
• • Harmful Content: Uploading content that is defamatory, obscene, pornographic, abusive, harassing, or hateful
• • Intellectual Property Infringement: Uploading content that infringes on patents, trademarks, copyrights, or other intellectual property rights
• • Malicious Code: Uploading viruses, malware, trojans, or any code designed to harm or disrupt systems
• • Unauthorized Access: Attempting to access accounts, systems, or networks without authorization
• • Service Abuse: Overloading, flooding, or otherwise disrupting the Service or its infrastructure
• • Scraping and Automation: Using bots, scrapers, or automated tools to access the Service without permission
• • Reselling: Reselling or redistributing the Service without our written consent
• • Reverse Engineering: Attempting to reverse engineer, decompile, or extract source code from the Service
• • Impersonation: Impersonating any person or entity or misrepresenting your affiliation

Violation of these prohibitions may result in immediate account termination and legal action.

8. Intellectual Property Rights

The Service, including its design, features, functionality, software, code, graphics, logos, and all related intellectual property, is owned by Spredo AI, Inc. and protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Service for your personal or internal business purposes. This license does not include any right to:

• • Modify, copy, or create derivative works of the Service
• • Distribute, sell, lease, or sublicense the Service
• • Reverse engineer or attempt to extract source code
• • Remove or alter any proprietary notices or labels

9. Third-Party Services and Links

The Service may integrate with or contain links to third-party services, websites, or applications (e.g., payment processors, AI providers, cloud storage). These third-party services are not controlled by Spredo and are subject to their own terms and privacy policies.

We are not responsible for the content, functionality, or practices of any third-party services. Your use of third-party services is at your own risk, and you should review their terms and policies before use.

10. Disclaimers and Limitations of Liability

10.1 Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.

We do not warrant that the Service will be uninterrupted, error-free, secure, or free from viruses or other harmful components. AI-generated analysis results may contain errors or inaccuracies—you are responsible for verifying all results before relying on them.

10.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPREDO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO SPREDO IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

10.3 AI Accuracy Disclaimer

11. Indemnification

You agree to indemnify, defend, and hold harmless Spredo AI, Inc., its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

• • Your use or misuse of the Service
• • Your violation of these Terms
• • Your User Content or any infringement of third-party rights
• • Your violation of any laws or regulations

12. Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without cause, with or without notice, for any reason including:

• • Violation of these Terms
• • Fraudulent, abusive, or illegal activity
• • Non-payment of fees
• • Extended periods of inactivity

Upon termination, your right to use the Service will immediately cease. We will make reasonable efforts to allow you to export your data within 30 days of termination, after which your data may be permanently deleted.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles. Any legal action or proceeding arising out of or related to these Terms shall be brought exclusively in the federal or state courts located in San Francisco County, California, and you consent to the personal jurisdiction of such courts.

14. Dispute Resolution and Arbitration

14.1 Informal Resolution

Before filing a claim, you agree to contact us at legal@spredo.ai to attempt to resolve the dispute informally. We will work in good faith to resolve disputes within 60 days.

14.2 Binding Arbitration

If informal resolution fails, any dispute arising out of or related to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in San Francisco, California.

14.3 Class Action Waiver

YOU AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

14.4 Exceptions

Either party may seek injunctive or equitable relief in court to protect intellectual property rights or confidential information.

15. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• • Posting the updated Terms on this page with a new "Last Updated" date
• • Sending an email notification to your registered email address
• • Displaying a prominent notice on the Service

Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service and cancel your account.

16. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Spredo regarding the Service.
• Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
• Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
• Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
• Force Majeure: We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control.
